We are looking for a Senior Corporate Paralegal to be part of a dynamic and growing Legal team!What you’ll be doing:Coordinate compliance efforts for our global subsidiaries, including maintenance of entities, entity formation and dissolution, state filings, handling to know-your-customer (KYC) and ultimate beneficial owner (UBO) requirements, responding to notary, apostille, legalization and governance-related document requests, and facilitating director and officer changesSupport corporate governance processes, including preparation and logistics for board of directors and committee meetings, management of the board portal, organizing and maintaining all corporate recordsParticipate in M&A integration activities and major transactionsAssist with the preparation of directors and officers questionnaires, related party questionnaires, and the proxy statement, and provide annual meeting supportPrepare and submit securities filings, such as Section 16 and international securities filingsCollaborate cross functionally, including with the equity, finance, human resources, treasury, and tax teamsActively track important deadlines and tasks and provide support for other special projects and departmental matters, including development and improvement of automated workflowsReport to the Director, Corporate AffairsWhat we need to see:Paralegal certificate and/or Bachelor’s degree from an accredited college or university (or equivalent experience)8+ years of experience working in an internationally/nationally-recognized law firm representing public companies or in-house legal department at a public company (a mix of both would be ideal)Excellent communicator, with the ability to interact with internal and external constituents at all levelsVery well organized, detail-oriented, reliable, and able to manage multiple projects concurrentlyThink creatively, function independently and work proactively in a fast-paced environmentAbility to handle complexity and demands with a sense of urgency, drive and passionExcellent interpersonal skills and professional judgmentWays to stand out from the crowd: Outgoing, optimistic, self-starter, positive and flexibleForeign language skillsNVIDIA is widely considered to be one of the technology world’s most desirable employers.
