We are looking for a seasoned, energetic and motivated candidate to lead the corporate legal support for the establishment and maintenance of our xScale joint ventures globally, and ancillary documents, which are joint ventures set up with investment partners to pursue our larger scale deployments with certain nominated cloud service and technology providers.What You'll DoDevelop specific expertise to support our xScale business within Equinix and leverage the expertise of Equinix in developing and operating world class data centers for our hyperscale customersLead corporate law aspects of expansion of the xScale business, including leading on the negotiation of the principal joint venture agreements with our investor partners, and all ancillary corporate agreements to support the xScale business model, working closely with our Tax and Treasury teams to structure these corporate arrangements in an optimal way for Equinix and the JV, and including support on any M&A transactions conducted through the xScale joint ventures, advising on structuring issues, use of legal entities, incorporation of new entities, etcLead and advise the xScale business and other functional teams on corporate legal matters during the life cycle of the xScale joint ventures and provide guidance on matters such as governance, structuring matters, rights and obligations under the JV partnership agreement and the commercial agreements between Equinix and the JV, etcLead corporate law aspects of any exit of investors from an xScale joint venture or other monetization solutions that the xScale business may pursue from time to timeWork with and manage extended xScale Legal team across Equinix One Legal to ensure compliance with xScale corporate legal matters, including board meetings, entity formation, corporate maintenance, etcSupport negotiation of customer contracts by advising on JV requirements applying to those contracts and finding ways to say “yes” to the customer while complying with JV requirements and protecting the JVInitiate and lead improvement initiatives, such as putting in place processes and tools that promote efficient delivery of legal support and cross functional collaborationTrain and educate the Legal team and the xScale business and other functional teams on xScale corporate legal mattersSupport business decisions related to the company's status as a US Real Estate Investment Trust (REIT) and assisting with REIT issues and analysis related to customer agreements and legal entity formation as far as it relates to the xScale businessAdvise on ad hoc corporate legal or regulatory issues affecting the xScale business, e.g., advising upon Directors’ duties etc.; andLiaison with external legal counsel in various jurisdictions engaged to provide legal support for the various xScale business activities referred to above, where local law input is required including managing a legal subject and relationships with external legal counselWhat You'll NeedExtensive years of legal experience as a corporate lawyer from a top tier law firm and/or a large multi-national organizationExperience setting up and managing joint ventures is requiredIn-house experience will be viewed favorably but is not essentialExperience of working in an international or global business organization is preferredExperience managing team members is desirableStrong organizational, analytical, leadership, and collaboration skillsAdaptable, flexible, pragmatic and solution-oriented, you must be willing to work and collaborate with the business in a fast paced and ambitious business unitAbility and drive to take initiative and ownership of projects and tasksStrong communication and relationship building skills, and experience (internal or external) working with other business focused personnel is essentialStrong attention to detailStrong ability to organize and prioritize tasks and workload, and good administrative skills.
