At Live Nation Entertainment, our people embrace these qualities, so if this sounds like you then please read on! THE ROLEWe are seeking a Senior Manager of Transaction Support in our Corporate Accounting department to lead the day-to-day technical accounting and transactional support for the organization in connection with acquisitions and other equity transactions.WHAT THIS ROLE WILL DOLead and supervise Transaction Support team (the point person) that is responsible for accounting for mergers, business acquisitions, asset acquisitions, partial acquisitions, NCI transactions and other equity transactions.The role reports to Director and oversees the Transaction Support team consisting of a manager and a senior.Part of the role includes leading and supervising team to handle complex purchase accounting for business combinations and other merger and acquisition (“M&A”) transactions, including identifying and valuing assets acquired and liabilities assumed in a business combination, valuing non-controlling interests (“NCI”) and redeemable NCI.Oversee the preparation, and/or the coordination with external valuation specialists in the preparation of, valuation models for assets acquired and liabilities assumed in M&A transactions, including intangible assets, NCI, equity investments, and business valuations.Manage all aspects of external valuations from beginning to end, including coordination with management and the business development teams, acquired entities, external valuation specialists, and internal and external auditors.Perform technical accounting research related to M&A transactions; document GAAP accounting and/or SEC reporting for M&A as needed.Review the assessment of business combination vs. asset acquisition, as well as other analyses of accounting impacts related to transactions, and review the documentation of the analyses and conclusions in memos or otherwise.Review various internal and external reporting schedules related to M&A during quarter-end and year-end close.Review journal entries prepared by the Transaction Support group related to purchase accounting, contingent consideration, redeemable NCI, and other M&A related activity during month-end close. Lead execution of effective internal control procedures and review compliance with SOX requirements.Manage and own all processes and issues related to M&A accounting.Be the point person to provide support and guidance to division and corporate accountants on all M&A-related accounting issues and questions; direct other teams in the accounting needed for acquisitions.Perform other technical accounting research as needed.Lead acquisition-related projects or other projects as needed.WHAT THIS PERSON WILL BRINGBachelor’s Degree in Accounting.CPA certification7-10 years of accounting experience with at least 2 recent years of technical accounting experience4-5 years of public accounting experience strongly preferredExperience with preparing/reviewing valuation modelsKnowledge of and experience with accounting for M&A transactions including business combinations, assessment of business vs. asset, and non-controlling interestsValuation modeling skills a plusStrong organizational skillsStrong Excel skillsKnowledge of variable interest entities and consolidation accounting a plusKnowledge of collaborative arrangements, stock-based compensation, lease accounting and revenue recognition accounting literature a plus.Strong written and verbal communication skillsTeam-playerSelf-motivated; shows initiativeStrong analytical skillsDetail-orientedMulti-task orientedAbility to research accounting literature and reach conclusionsBENEFITS & PERKSOur motto is ‘Taking Care of Our Own’ through 6 pillars of benefits:HEALTH: Medical, Vision and Dental benefits for you and your family, including Flexible Spending Accounts (FSA) and Health Savings Accounts (HSAs)YOURSELF: Generous paid time off policy including paid holidays, sick time and paid days off for your birthday, Free concert ticketsWEALTH: 401(k) program with company match, Stock ProgramFAMILY: New parent programs & support including caregiver leave and childcare cash, infertility supportCAREER: Tuition reimbursement, student loan repayment internal growth and development programs & trainingsOTHERS: Volunteer time off, crowdfunding networkLive Nation’s policy regarding vaccinations and masking will evolve based upon updated regulations and factors related to COVID-19.
