Working on a variety of corporate legal matters, you will focus on Board matters, Securities Law, and Corporate Governance. Reporting to the Vice President, Deputy General Counsel & Chief Compliance Officer, you will partner closely with our equity compensation team and provide additional support to the CCO.About You – experience, education, skills, and accomplishments…Bachelor’s Degree6+ years of legal experience working in-house within a publicly traded corporation AND/OR a mixture of corporate paralegal experience with a large law firm (partnering with public companies)Advanced MS Office Suite: MS Excel, MS Word, MS PowerPointIt would be great if you also had…Certification from accredited paralegal programStrong organizational, planning, and project management skills and willingness to take ownership of special projects and drive them to successful completionStrong attention to detail and demonstrated ability to produce reliably error-free work productExcellent interpersonal and communications skills, including ability to be professional, efficient, and thoughtful in both in-person settings and in written materials (emails, chats, written work product)Demonstrated ability to work efficiently while multitasking, and with a high energy level in a fast-paced environmentWhat will you be doing in this role?...Manage and retain all records for Section 16 filings, including preparing drafts of all Form 3, 4 and 5 filings for review by internal and external counsel as appropriate and filing Forms 3, 4 and 5 with the SEC using Workiva or other systems as the Company designatesManage and retain all records for 10b5-1 trading plansAssist with insider trading processes, including maintaining list of colleagues who are subject to trading blackoutsServe as principal liaison with Transfer Agent, including preparing reports as available and neededAssist with preparation of Proxy Statements and planning and execution of Annual Meeting, including maintaining the Annual Meeting calendar and assisting with the preparation, dissemination and review of annual D&O QuestionnairesServe as the primary company contact for Board of Directors cash and equity compensationAssist with Board and Committee meetings book production process and minutes of meetingsAssist with all SEC and NYSE filingsAbout the TeamIn this new role, you will be an integral part of Clarivate’s corporate law team working on high profile matters with the CCO and the Governance, Compliance and Company Secretary teams and interact frequently with members of the Board, senior management, legal, HR and executive compensation teams.Hours of Work40 – 50 hours per weekThis is a hybrid job opportunitLimited to no travel required#CBClarivate is an Equal Opportunity Employer Vets/Minorities/Women/Disabled
