Job SummaryThe Contracts Manager drafts and reviews Customer contract requests, develops contract templates, and coordinates with cross-functional stakeholders as needed.ResponsibilitiesNegotiationDrafts and reviews Customer requests to ensure that the customer agreements properly reflect the Customer and Equinix's position and are approved for Sales in a timely fashionWorks closely with Sales, Sales Operations and Sales Engineers or Customer Service Managers on customer agreementsProvides contract interpretation guidanceEvaluates legal requests/contracts issues to ensure compliance to company policy and other requirements and notifies the appropriate parties of any non-complianceConducts additional contract research and interpretation, and, together with Analyst research findings, provides guidance on day-to-day issues, including transactional and non-transactional mattersAssists in drafting and revising form agreementsDrafts and reviews Customer requests for "non-standard" language on Customer agreements to ensure that the documents properly reflect the Customer and Equinix's position, escalating when necessaryDrafts, reviews, and negotiates Customer Contracts (including Master Country Agreement, Global Terms & Conditions, Pricing Agreements), utilizing his/her own legal acumen and or in combination with the pre-approved modifications (PAMS), to ensure contracts properly protect Equinix and are approved for the Sales or other business departmentsDrafts, reviews, and negotiates Customer Contracts that do not conform to PAMS to ensure contracts properly protect Equinix and are internally approved, in accordance with department processes, collaborating with more senior team members as neededReviews Orders from Contract Analysts that require additional negotiation or language adjustments (e.g., manual orders, order amendments, replacement orders)· Drafts and reviews changes from Contracts Analysts regarding Non-Disclosure Agreements and Novation AgreementsCollaborates with various Equinix departments (e.g., Sales, Operations, Finance, product management, and insurance) to develop potential solutions for customer requests, seeking approvals within Equinix guidelinesAssists Bid Management to analyzes customer requests for information (e.g., RFQs, RFPs, and RFIs), advises commercial leaders on how best to respond, and drafts responses to ensure quick, accurate, and comprehensive responsesCustomer Lifecycle Management TasksPrioritizes work based on deal size and complexity to generate the most sales and profit for the companyResponsible for monitoring of general contract requests and handling of specific customer requested languageTrackingMonitors the general contract queue (requests and status), including delegation of projectsSupports Sales by retrieval of customer contracts and providing deal statusCustomer Contracts AdministrationAssists with general contract administration, including but not limited to data entry, reporting, and filingCompletes customer contract administrative tasks, including but not limited to review of early contract termination, notations, price increases, renewals, amendments and customer rights to ensure changes are properly documentedEnsures proper approvals for contract execution/process are obtained and validProvides contract interpretation guidance to Customer Contracts AdministratorsDrafts straightforward letters to customersPerforms other non-Customer Contracts related tasks such as discovery support, litigation assistance and project based research and drafting (i.e., Product Descriptions or Channel Engagement Team)Provides general administrative support for systems used by the Contracts team, including but not limited to the Apttus contract management system, SharePoint, SFDC, etc.Drafts non-standard customer correspondenceProcess ManagementChampions contract policy and procedure revision and improvement, including the creation of templates and playbooks under the supervision of attorneysDevelops and implements appropriate contract templates, language and procedures, including identifying opportunities to streamline processes regarding the development, negotiation and execution of commercial contractsStays abreast of internal and external changes and evolutions, including Equinix business strategies, goals and objectives, market and industry trends, as well as legal and regulatory developments and requirementsAssists in developing and disseminating Contract department's processesQualificationsBachelor's degree and/or 3+ years related training, or equivalent combination of education/training and experience preferred3+ years experience in related field preferredEquinix is an Equal Employment Opportunity and, in the U.S., an Affirmative Action employer.
