Legal Counsel and Company SecretaryDescription -Job Summary• This role is responsible for providing expert legal counsel in the assigned country or sub-region, and managing legal projects of moderate to high complexity. The role ensures compliance with evolving laws, oversees maintenance of accurate legal records, and fosters legal awareness among clients. Additionally, the role provides legal support in relation to corporate affairs and local governance standards.Responsibilities• Provides expert legal advice and strategic counsel to support client decisions in a country or sub-region, including performing commercial transactions and program review, drafting, and negotiation.• Works on multiple legal issues and projects concurrently for various client organizations within a country, conducting in-depth legal research and collaborating with cross functional teams.• Participates in projects on matters related to corporate affairs such as commercial, antitrust, employment, real estate, pensions, company secretarial, post-acquisition merger and acquisition (M&A), etc.• Leads monitoring of changes in laws, regulations, and industry standards to ensure that the organization's compliance module is up to date.• Oversees maintenance of legal files, databases, documentation in an accurate manner and prepares legal memos, reports, and presentations as required.• Identifies, analyzes, and resolves complex local legal issues.• Promotes legal awareness and leads legal training activities for clients in a country, on legal matters, compliance, and best practices.• Solves difficult and complex problems with a fresh perspective, demonstrating good judgment in selecting creative solutions and managing projects independently.• Leads moderate to high complexity projects, delivering professionally written reports, and supports the realization of operational and strategic plans.Education & Experience Recommended• Four-year or Graduate Degree in Law, or any other related discipline or commensurate work experience or demonstrated competence.• Typically has 4-7 years of work experience, preferably in commercial, general or specialty law, or a related field or an advanced degree with 3-5 years of work experience.Preferred Certifications• State Bar MembershipKnowledge & Skills• Auditing• Business Law• Corporate Governance• Corporate Laws• Due Diligence• Finance• Financial Services• Information Privacy• Intellectual Property• Labor Law• Lawsuits• Legal Discovery• Legal Research• Legal Support• Mergers And Acquisitions• Procurement• Providing Legal Advice• Regulatory Compliance• Risk Management• Risk MitigationCross-Org Skills• Effective Communication• Results Orientation• Learning Agility• Digital Fluency• Customer CentricityImpact & Scope• Impacts multiple teams and may act as a team or project leader providing direction to team activities and facilitates information validation and team decision making process.Complexity• Responds to moderately complex issues within established guidelines.Disclaimer• This job description describes the general nature and level of work performed in this role.
