Frequently determines methods and procedures for new assignments.ResponsibilitiesDrafts, analyzes, and manages the most complex legal documentsPrepares a wide variety of legal filings, reports, and researchDevelops financial tools and models, prepares trend analyses and other reports for annual planning, and manages corporate databases and systemsAssists attorneys with the most complex legal matters and client issue resolutionMakes recommendations regarding legal matters and directs fact investigation for client engagementsAdvise Administrative Assistants on record retention needs and effortsSupport M&A transactions, including due diligence, non-disclosure agreements, coordination of closing deliverables, state corporate filings, securities filings, M&A-related regulatory investigations, and oversight of billing and budgeting mattersSupport M&A integration and separation planning activities, including cross-functional coordination with stakeholders and specialists to develop and execute on plans to integrate people, processes, policies, systems, and contractsDevelop trainings, playbooks and team resourcesEmbrace and adopt AI, and other new technologies, to drive efficienciesCoordinates legal and internal stakeholder inputSupports filings of proxy statements, registration statements (Forms S-8 and Forms S-3), and related materialsAssists with legal and filing support for Section 16 reportingManages and coordinates NYSE listing standards complianceProvides overall legal support for insider trading policy compliance and Rule 10b5-1 plans, including maintaining blackout list, and responsible for oversight of pre-clearance processManages and coordinates with stock transfer agent, including share repurchase programs, dividends.
