Smartsheet is seeking a talented Associate Corporate Counsel to join its collaborative legal team. We are looking for a highly capable and motivated individual with strong interpersonal skills to assist us in supporting the legal corporate, governance, and securities functions, as well as other parts of the business.
This role will report to the Director of Legal. This role is remote-eligible and open to candidates who reside on the West Coast.
You will:
Support the drafting ,reviewing, and preparation of U.S. Securities & Exchange Committee filings, including forms 10-K, 10-Q, 8-K, Section 16 filings, and proxy statements
Provide legal review and support for corporate governance matters, including assistance with board of directors processes and materials, and governance policy updates
Research and keep current on applicable laws, regulations, and listing exchange (NYSE) requirements and governance practices
Provide strategic and practical legal advice to partner departments, including Finance, Compensation, and Stock Administration
Collaborate with all members of the legal team across office locations, including attorney and non-attorney personnel
Contribute to the continuous improvement of document templates and internal resource documents
Deliver training and guidance to employees on legal issues, best practices, and company policies
Support general business operations by responding to requests for assistance as needed
Complete special projects as requested
You Have:
0-2 years of relevant legal experience
JD from an accredited law school and an active member of a state bar
In-house legal department experience at a cloud software company preferred
Experience in legal research and working directly with business stakeholders
Ability to analyze problems and recommend practical solutions that balance legal and business risks
Skilled at developing strong working relationships with other business units despite competing priorities and interests
Aptitude and disposition to uphold company’s business standards and risk tolerance
Excellent interpersonal skills, business judgment, and strategic thinking
Flexible with a service-oriented mentality

Smartsheet provides a competitive base salary range for roles that may be hired in different geographic areas we are licensed to operate our business from. Actual compensation is determined by several factors including, but not limited to, level of professional, educational experience, skills, and specific candidate location. In addition, this role will be eligible for a market competitive incentive opportunity and some roles may be eligible for a RSU stock grant upon accepted offer.
California & New York: $97,200 to $140,400 | All other US States: $90,000 to $130,000.
