Smartsheet is seeking a talented Corporate Counsel to join its collaborative legal team. We are looking for a highly capable and motivated individual with strong interpersonal skills to assist us with commercial transactions, primarily supporting the procurement and third-party engagement function, and other parts of the business.
This remote role will report to the Director of Legal and is open to candidates who reside on the West Coast.
You Will:
Draft, negotiate, and review commercial agreements including order forms, statements of work, master agreements, and other commercial agreements relating to SaaS, IP licensing, professional services, sponsorships, marketing, events, and more.
Provide strategic and practical legal advice to departments across the company, including to our affiliates and subsidiaries throughout the world.
Collaborate with all members of the legal team across global office locations, including attorney and non-attorney personnel.
Contribute to the continuous improvement of document templates, alternate language playbooks, and internal resource documents.
Deliver training and guidance to employees on legal issues, best practices, and company policies.
Support general business operations and assist with special projects.
You Have:
1+ years of relevant legal experience (ideally in-house at a cloud software company).
JD from an accredited law school and an active bar member.
Experience negotiating a variety of commercial contracts and working with different departments.
Ability to analyze problems and recommend practical solutions that balance legal and business risks.
Aptitude and disposition to uphold company’s business standards and risk tolerance.
Skilled at developing strong working relationships with other business units despite competing priorities and interests.
Excellent interpersonal skills, business judgment, and strategic thinking.
Able to operate in a fast-paced environment that places a high premium on excellence, execution, and teamwork.

Smartsheet provides a competitive range of compensation for roles that may be hired in different geographic areas we are licensed to operate our business from. Actual compensation is determined by several factors including, but not limited to, level of professional, educational experience, skills, and specific candidate location. In addition, this role will be eligible for a market competitive bonus and RSU stock grant upon accepted offer.
California & New York: $97,200 to $140,400
All other US States: $90,000 to $130,000
